Fees
 

Fees, Fines and Other Payments

The Companies Law and DIFC Companies Regulations, Limited Liability Partnership Law and DIFC Limited Liability Partnership Regulations, General Partnership Law and General Partnership Regulations, as well as Limited Partnership Law and DIFC Limited Partnership Regulations require the payment of certain fees to the Registrar of Companies (ROC), including the receipt by the ROC of any required document, the issuance by the ROC of any requested document and the inspection by the ROC of documents or other material on file with the ROC. Such fees are payable directly to the ROC with regard to the matters stipulated in the Table of Fees. All fees are non-refundable. Application fees should be paid at the same time that the relevant application form and documents are submitted to the Business Development Department or the Client Services Centre. All other fees should be paid at the time that the relevant notice/request is sent to the ROC. No request for action will be considered duly made until the relevant fee is actually received.
 
The ROC may further impose a fine on any person who is considered to have committed a contravention of a provision referred to in Schedule 2 of the Companies Law in relation to which a fine is stipulated. In such a case, the ROC will send a certificate stating that a fine is being imposed, and providing the notice period within which the fine must be paid. The contravenor must make payment within the notice period. The contravenor can at such time either elect to pay the fine, or refuse to pay and appeal to the DIFC Courts for relief. The ROC may similarly apply to the DIFC Court for an order to compel payment, at the Court’s discretion.
